For purposes of these Terms, Confidential Information shall mean any information, whether oral, written, or in electronic or other tangible form, that a reasonable person would understand to be confidential given the nature of the information and the circumstances of its disclosure, and shall include but not be limited to trade secrets, technical data, source code, algorithms, business plans, financial information, customer lists, vendor lists, pricing strategies, marketing plans, system architectures, security protocols, and any information clearly designated as confidential at the time of disclosure. Each party agrees to protect the Confidential Information of the other party using the same degree of care that it uses to protect its own Confidential Information of a similar nature, but in no event less than a reasonable degree of care.

The receiving party agrees not to use the Confidential Information of the disclosing party for any purpose other than evaluating, engaging in, or performing under the business relationship between the parties, and not to disclose such Confidential Information to any third party other than the receiving party employees, officers, directors, contractors, and professional advisors who have a legitimate need to know such information and who are bound by confidentiality obligations at least as protective as those contained in these Terms. These obligations of confidentiality shall survive the termination or expiration of these Terms for a period of five years, or indefinitely in the case of information that constitutes a trade secret under applicable law. The confidentiality obligations set forth herein shall not apply to information that is already publicly known through no breach by the receiving party, is rightfully received from a third party without restriction, is independently developed by the receiving party without reference to the Confidential Information, or is required to be disclosed by law, court order, or governmental regulation, provided the receiving party gives the disclosing party prompt notice and reasonably cooperates in any effort to limit or prevent such disclosure.

8. Disclaimers and Warranties

YOUR USE OF THE WEBSITE AND SERVICES OF RST RENTAL IS AT YOUR SOLE RISK. THE WEBSITE, ALL CONTENT AND MATERIALS THEREON, AND ALL SERVICES PROVIDED BY RST RENTAL ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RST RENTAL, RST BD RENTAL LLC, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT, AS WELL AS ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE, TOTAL, AND CUMULATIVE LIABILITY OF RST RENTAL, RST BD RENTAL LLC, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS TO YOU FOR ALL CLAIMS, LOSSES, DAMAGES, CAUSES OF ACTION, AND LIABILITIES OF ANY NATURE WHATSOEVER ARISING OUT OF OR RELATING TO THESE TERMS OF SERVICE, THE WEBSITE, OR ANY SERVICES, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, STATUTE, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF ONE HUNDRED UNITED STATES DOLLARS OR THE TOTAL AMOUNT PAID BY YOU TO RST RENTAL FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT THAT GAVE RISE TO THE LIABILITY. THE EXISTENCE OF MORE THAN ONE CLAIM SHALL NOT ENLARGE THIS LIMIT. THE FOREGOING LIMITATIONS OF LIABILITY SHALL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND SHALL SURVIVE ANY TERMINATION OR EXPIRATION OF THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU, IN WHICH CASE THE LIABILITY OF RST RENTAL SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless RST Rental, RST BD RENTAL LLC, and their respective officers, directors, employees, agents, affiliates, licensors, service providers, successors, and assigns from and against any and all claims, actions, suits, demands, proceedings, investigations, damages, losses, liabilities, judgments, settlements, awards, costs, and expenses, including but not limited to reasonable legal and accounting fees and costs, arising out of or in any way connected with your violation or breach of these Terms of Service; your use of or access to the website or services; your violation of any applicable law, rule, or regulation; your violation of any third-party right, including any intellectual property right, privacy right, publicity right, or proprietary right; or any claim that your user-generated content caused damage, loss, or harm to a third party.

RST Rental reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with RST Rental in asserting any available defenses and to provide all information, documents, and assistance reasonably requested by RST Rental in connection with such defense. You shall not settle, compromise, or otherwise dispose of any claim, action, or proceeding that is subject to indemnification under this section without the prior written consent of RST Rental, which consent shall not be unreasonably withheld, conditioned, or delayed. The indemnification obligations set forth in this section shall survive the termination or expiration of these Terms of Service and your cessation of use of the website and services.

11. Third-Party Links and Services

The website of RST Rental may contain links to, references to, or integrations with external websites, platforms, applications, tools, and services that are not owned, operated, or controlled by RST Rental or RST BD RENTAL LLC. These third-party links and references are provided solely for your convenience and informational purposes and do not constitute an endorsement, sponsorship, recommendation, or approval by RST Rental of any third party, its products, its services, its content, or its practices. RST Rental has no control over, and assumes no responsibility for, the content, privacy policies, terms of service, or practices of any third-party websites or services, and you access and use them entirely at your own risk.

You acknowledge and agree that RST Rental shall not be responsible or liable, directly or indirectly, for any damage, loss, or harm caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available on or through any third-party website or service. 12. Termination

RST Rental reserves the right, in its sole discretion and without prior notice or liability to you, to suspend, restrict, disable, or terminate your access to the website, your account, or any portion or feature thereof, at any time and for any reason or for no reason, including without limitation if we determine that you have violated any provision of these Terms of Service, have engaged in conduct that we deem harmful to our business or other users, have provided false or misleading information, have failed to make payment when due, or have ceased to engage with the website for an extended period. In the event of termination, your right to access and use the website and services shall immediately cease, and you shall promptly destroy any copies of website content or materials in your possession or control.

Upon termination, all provisions of these Terms of Service that by their nature should survive termination shall continue in full force and effect, including without limitation the provisions concerning intellectual property ownership, confidentiality obligations, disclaimers and warranties, limitations of liability, indemnification, governing law, and dispute resolution. RST Rental shall not be liable to you or to any third party for any termination of your access to the website or services, and any fees paid by you to RST Rental prior to termination are non-refundable except as expressly provided in a separate written service agreement. Termination of these Terms does not relieve you of any obligation to pay any fees, costs, or other amounts that have accrued prior to the effective date of termination, and all payment obligations that have matured as of the date of termination shall survive such termination. If you wish to terminate your account or your relationship with RST Rental, you may do so by ceasing all use of the website and services and contacting us at talk@rstrental.lol to request closure of your account, subject to any ongoing obligations under separate agreements.

13. Governing Law

These Terms of Service, and any dispute, claim, or controversy arising out of or relating to them, the website, or the services of RST Rental, including disputes regarding the validity, interpretation, enforceability, or breach of these Terms, shall be governed by and construed in accordance with the laws of the State of Utah, without giving effect to any choice-of-law or conflict-of-law principles that would result in the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms or to any transaction or relationship between you and RST Rental.

You agree that any legal suit, action, or proceeding arising out of or related to these Terms of Service or the website or services of RST Rental shall be instituted exclusively in the federal or state courts located in Utah County, State of Utah, and you irrevocably consent and submit to the personal jurisdiction and venue of such courts and waive any objection based on improper venue, forum non conveniens, or lack of personal jurisdiction. This choice of venue and forum is intended to be mandatory and not permissive in nature. You agree that a final and non-appealable judgment in any such suit, action, or proceeding shall be conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law. Nothing in this section shall prevent RST Rental from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or other legitimate business interests.

14. Dispute Resolution

RST Rental is committed to resolving disputes with its users and clients in an efficient, cost-effective, and amicable manner. Before initiating any formal legal proceeding, you agree to first contact RST Rental at talk@rstrental.lol and describe the nature of your concern or dispute in reasonable detail. Upon receipt of your notice, RST Rental shall have a period of sixty calendar days to investigate the matter and attempt to reach a mutually satisfactory resolution through informal negotiation. Both parties agree to participate in these discussions in good faith and to make a genuine effort to resolve the dispute without resorting to litigation. If the parties are unable to resolve the dispute through informal negotiation within that sixty-day period, either party may then pursue its claims through the appropriate legal channels as described in these Terms.

You and RST Rental agree that any dispute resolution proceedings, whether in court or otherwise, shall be conducted only on an individual basis and not in a class, consolidated, collective, or representative action. You waive any right to participate as a plaintiff or class member in any class action, class arbitration, private attorney general action, or other representative proceeding against RST Rental. You also agree to waive any right to a trial by jury in connection with any dispute arising out of or relating to these Terms of Service.
